1. General provisions and acceptance
1.1. This document is a public offer by sole proprietor (private entrepreneur) Kotliar Yana Mykhailivna, registered in Ukraine (the Studio, we, us), to contract on the terms below with any natural person who accepts it (the Customer, you). It is a public contract and a contract of adhesion under Articles 633, 634 and 641–642 of the Civil Code of Ukraine, concluded under Article 11 of the Law of Ukraine "On Electronic Commerce".
1.2. You accept the offer by ticking the checkbox agreeing to these Terms on the checkout page and paying for the Order. The contract is concluded when your payment reaches us. We confirm the Order by e-mail or Telegram.
1.3. Only persons aged 18 or over may order. By paying, you confirm your age.
1.4. These Terms exist in Ukrainian and English. For users in Ukraine the Ukrainian version is primary and prevails in case of conflict. This does not limit the mandatory consumer rights you have under the law of the country where you live (section 18, Annex A). Choosing the English version means choosing English as your service language.
1.5. The Privacy Policy, the Refund & Delivery Policy, the Content Rules and the "How we use AI" page on the Site form part of the contract. In case of conflict, the order of precedence is: mandatory law; these Terms; the named policies; other information on the Site.

3. Subject of the contract
3.1. We provide digital content creation services: (a) restoring photos and faces and returning colour; (b) Artistic Reconstruction — scenes placing the face from the original in an imagined but plausible setting of its era and region; (c) Living Presence technology — a three-dimensional 2.5D scene with a slow camera move; (d) editing the Film or Reel with music and sound design; (e) hosting the Deliverables on the Delivery Page. The steps performed by AI are moderated by the Studio by hand.
3.2. Under the L · Spadok and XL · Vichnist Packages, or as a separate line in your Order, we also make Printed Items — an Album (hard cover, 300 g/m² matte paper, 30 × 21 cm) and a Canvas Portrait with artistic stylisation (50 × 70 cm). They are laid out and created from your Deliverables and printed by our partners. They are goods made to your specification.
3.3. The contents of each Package are set out in Annex C and on the Site at the time of the Order.
3.4. Not included: original photos by post (we work with digital copies only); voice synthesis, speech or narration; documentary or historical accuracy of scenes; mandatory interim approval (we may send a preview at our discretion, but need not).
4. Placing an Order
4.1. Steps: (1) choose a Package and, if you wish, Printed Items; (2) upload the Source Materials and complete a Description for each photo, including the "alive/deceased" flag for each Depicted Person; (3) enter your contact details and, for Printed Items, a delivery address; (4) review the Order summary; (5) tick the three mandatory checkboxes — agreement to the Terms and policies, the request to start immediately, the photo warranties — and, if you wish, the optional newsletter checkbox; (6) click "Order with obligation to pay" and pay.
4.2. Before clicking the button you can go back to any step and correct errors. After payment, changes are possible via hello@vidlunnya.com if the state of production allows.
4.3. After payment we e-mail you an Order confirmation on a durable medium: the Order summary, the full text of these Terms in the version you accepted (as a PDF attachment or a permanent link to that exact version), and a repeat of your request to start immediately. We keep the contract text and a record of your acceptance (date, time, version) for the retention period of Order data. You can request a copy at hello@vidlunnya.com.
4.4. Telegram bot. You may send photos and Descriptions through the bot @vidlunnyastudio. Before accepting photos, the bot shows links to these Terms and the Privacy Policy and asks you to tap "I agree". Telegram's file limit is 20 MB; upload larger files through the Site. Acceptance works the same way — by ticking the checkboxes and paying via the link sent by the bot or the Site.
4.5. Free Restoration. One photo, no scene, no Film, result within 24 hours, no obligation on your part. It is not an Order, but the Content Rules, sections 5 and 13–15 and the Privacy Policy apply to it.
4.6. File requirements: JPG, PNG, HEIC or PDF scan; up to 25 MB per file (Telegram — up to 20 MB); shot straight on, at 90°, without glare. Number of photos: 15–20 recommended, 5 minimum; per Package — S · Myt 5 to 7; M · Istoriia, L · Spadok and XL · Vichnist 5 to 20.
5. Source Materials and Customer warranties
5.1. By uploading Source Materials you warrant that: (a) you may use them: you own the print or file and no author's rights are infringed, or the photo is over 70 years old and has never been published; (b) living Depicted Persons have consented to the processing of the photo and the creation of an Artistic Reconstruction; for children, you are a parent or guardian or have that person's consent; (c) for deceased persons, you are a family member and, as far as you know, nobody entitled to consent (children, widow or widower; failing them, parents, brothers, sisters) objects; (d) no Depicted Person is a public figure or performer whose image rights belong to third parties; (e) the Descriptions are truthful and the "alive/deceased" flag on each photo is accurate; (f) you will not use the Deliverables for deception, harm, defamation, sexualisation or political manipulation.
5.2. The "alive/deceased" flag determines how we process the photo (section 15 of these Terms; section 6 of the Privacy Policy). If you flag a living person as deceased, the consequences are yours.
5.3. You inform living Depicted Persons yourself that their photos will be processed and give them a link to the Privacy Policy. We cannot do this for you.
5.4. If a third party claims against the Studio because of a breach of your warranties, you reimburse our reasonable, documented losses caused by that breach, within reasonable limits. This does not apply where the claim arose through our fault.
6. Content Rules and the Studio's right to refuse
6.1. We do not accept or create: sexual or nude content; any content with children outside a family context or in an unacceptable context; images of living people without their consent (other than yourself); public figures and politicians; military symbols of totalitarian regimes used as "decor"; images obtained unlawfully; content for deception, disinformation or harassment; requests to "bring back a voice or speech". The full list is in the Content Rules on the Site.
6.2. We may refuse to perform an Order in whole or in part if the Source Materials breach the Content Rules, your warranties raise reasonable doubts, or a scene is politically or historically sensitive. We notify you by e-mail and refund the unperformed part within 14 days.
7. Prices, taxes, payment, receipt
7.1. The price is the one shown on the Site when you place the Order. The Ukrainian version of the Site shows prices in hryvnia; the English version in EUR (EU), GBP (United Kingdom) or USD (North America and other countries).
7.2. For Customers in Ukraine the price is final: the Studio is not a VAT payer in Ukraine. For Customers in the EU and the United Kingdom, the price on the English version of the Site includes VAT at your country's rate. For other countries the price excludes local taxes on digital services, where they apply.
7.3. Payment is 100% in advance by Visa/Mastercard (including foreign-issued cards), Apple Pay or Google Pay through the payment provider Plata by mono (JSC Universal Bank, Ukraine). We never receive or store your card details. The charge appears on your statement as VIDLUNNYA.
7.4. A charge to a foreign-issued card may be settled in hryvnia (UAH) with conversion at the provider's rate; your bank may charge a conversion fee. We add no surcharge for any payment method.
7.5. After payment we send an electronic receipt to your e-mail (Article 13 of the Law of Ukraine "On Electronic Commerce").
7.6. When we announce a discount, we show the lowest price of the previous 30 days. What we call free is really free.
8. Production times
8.1. Timelines run in calendar days from the moment we have received both payment and the complete set of Source Materials with Descriptions. If anything is missing, we tell you, and time starts once we receive it.
8.2. The Film or Reel — 3–5 days. Printed Items — up to 14 days including delivery within Ukraine. We currently deliver Printed Items only within Ukraine (clause 12.4); Customers in other countries may order Printed Items for delivery to an address in Ukraine — for example, to relatives.
8.3. The moment of delivery of the Film or Reel is defined in clause 9.1; until then you may withdraw from the contract for a full refund (section 11).
8.4. If we are running late, we tell you before the deadline, give a new date and offer a choice: wait, or cancel the undelivered part for a full refund of its price. For Printed Items, see clause 12.5.
9. Delivery Page and digital delivery
9.1. We host the Deliverables on the Delivery Page — a private page with a random address of the form /d/{22-character key}, without a password, hidden from search engines (noindex). We send the link by e-mail or messenger; the moment we send it is the moment of delivery of the Film or Reel.
9.2. The page works for 12 months from delivery. You can download the Film, Reel and images with the "Download" button; we recommend doing so at once. You can ask for an extension at hello@vidlunnya.com before the period ends. After it ends, we delete the Deliverables under the Privacy Policy.
9.3. The link is the access key: anyone who has it can see the Deliverables. You decide whom to give it to and bear the consequences. The "Share" button creates the same link.
9.4. The Delivery Page has a "before/after" toggle and the caption: "Scenes were created by artificial intelligence as an artistic reconstruction of the era. Faces are preserved from the originals."
10. Quality, revisions and conformity
10.1. The Deliverables must match the ordered Package, your Descriptions and the service description on the Site, and be free of technical defects within our control.
10.2. One revision round. Within 14 days after delivery you may request one round of revisions for defects within our control: image artefacts, errors in captions and titles, mismatch with the ordered Package, obvious distortion of a face. Write to hello@vidlunnya.com with the Order number and a description (with a timecode or screenshot if possible). Revisions are free; we complete them within a reasonable time — usually no longer than the Film production time (clause 8.2).
10.2.1. 100% money-back guarantee. If a defect within our control could not be fixed after the revision round, we refund 100% of the service price (excluding Printed Items already sent to print) within 14 days. You may choose the remedies in clause 10.4 instead.
10.3. Not a defect: a subjective "I don't like it"; imagined scene details (clothing, interior, street, colours) that do not contradict the Description; historical inaccuracies in the imagined setting; limits caused by the quality of the Source Materials; consequences of errors in your Descriptions.
10.4. If a lack of conformity remains after the revision round, your statutory guarantees apply: (1) we bring the Deliverables into conformity within a reasonable time, free of charge; (2) if that is impossible or we fail to do it in a reasonable time, you may claim a proportionate price reduction; (3) if the lack of conformity is significant, you may terminate the contract for the non-conforming part and receive the corresponding refund. This matches Articles 8 and 10 of the Law of Ukraine "On Protection of Consumer Rights", Directive (EU) 2019/770 and the Consumer Rights Act 2015 (UK). The period in clause 10.2 concerns the free revision round only and does not shorten your statutory guarantees.
10.5. Defects in Printed Items — section 12.
11. Right of withdrawal and 100% money-back guarantee
11.1. You may withdraw from the contract within 14 days of its conclusion (payment) without giving a reason.
11.2. At checkout, by a separate checkbox, you expressly request that we begin performing the service immediately and acknowledge that you lose the right of withdrawal once the service is fully performed — when the Film or Reel is delivered. The checkbox reads: "I expressly request that the Studio begins performing the service immediately. I understand that until the Film is delivered I may withdraw for a 100% refund, and that once it is delivered I lose the 14-day right of withdrawal — revisions and quality guarantees apply instead. Printed Items are made to my specification: fully refundable until sent to print, afterwards only if defective." We repeat it in the confirmation e-mail.
11.3. The consequences of withdrawal depend on the moment we receive your notice: (a) before the Film or Reel is delivered — we refund 100% of the service price, for any reason and without explanation, even if we have already started work; the price of Printed Items follows clause 11.4; (b) after the Film or Reel is delivered — the right of withdrawal for the service is exhausted, because the service has been fully performed at your express request; one revision round, the conformity guarantees and the 100% money-back guarantee in clause 10.2.1 apply (section 10). For Printed Items, see clause 11.4.
11.4. Printed Items: if, when we receive your notice, we have not yet sent them to print, we refund their price; if we have, their price is not refunded except for defects (section 12).
11.5. How to withdraw: send an unequivocal statement to hello@vidlunnya.com with the Order number, or use the model form in Annex B. Sending it before the 14 days expire is enough. We acknowledge receipt by e-mail and confirm the refund under clause 11.3.
11.6. We refund within 14 days of receiving your notice, to the original payment method. We charge no fee for refunds; we do not compensate a conversion fee charged by your bank.
12. Printed Items: made to order, defects, shipping
12.1. The Album and Canvas Portrait are made to your specification, so the right of withdrawal in section 11 does not apply to them once they have been sent to print (Article 13 of the Law of Ukraine "On Protection of Consumer Rights"; the List approved by Cabinet Resolution No. 172; Article 16(c) of Directive 2011/83/EU; reg. 28(1)(b) CCR 2013).
12.2. We lay out the Printed Items from the Deliverables. There is no separate proof approval unless we send one at our discretion.
12.3. Defects. If an item is damaged, misprinted, wrongly laid out or not in the ordered format, write to hello@vidlunnya.com with photos of the defect and the packaging. Please do so within 14 days of receipt — that lets us claim against the printer in time; this request does not shorten your statutory guarantees. We reprint the item or refund its price — your choice, where a reprint is possible. Minor colour variation within normal printing tolerance is not a defect.
12.4. Shipping. Printed Items are delivered only within Ukraine by Nova Poshta (exceptionally by Ukrposhta); delivery within Ukraine is free. The delivery address may belong to another person — for example, your relatives in Ukraine. We send the tracking number by e-mail or Telegram. Risk of loss or damage passes to you when you, or a person you named, receive the parcel. If the carrier loses the parcel, we reprint the item or refund its price and pursue the carrier ourselves.
12.5. Delay. If we cannot dispatch an item within the time in clause 8.2, we tell you before it expires, give a new dispatch date and offer a choice: wait, or cancel the undelivered item for a full refund of its price.
12.6. International shipping. We do not yet offer delivery of Printed Items outside Ukraine. If we introduce it, the conditions (carrier, timing, cost, customs charges) will be published on the Site and in the Refund and Delivery Policy before such an Order can be placed.
12.7. Address. You are responsible for the accuracy of the recipient's address and phone number. If a parcel is returned because of an address error or is not collected from the branch within the carrier's storage period, re-dispatch is at your cost at the carrier's actual rate.
13. Intellectual property
13.1. The Source Materials remain yours. You grant the Studio a non-exclusive, royalty-free licence to use them solely to perform the Order (restoration, generation, editing, printing) and to store them for the periods set in the Privacy Policy.
13.2. Deliverables. All rights the Studio holds in the Deliverables — including the sui generis right in non-original objects generated by a computer program (Article 33 of the Law of Ukraine "On Copyright and Related Rights" No. 2811-IX) — are transferred or granted to you on full payment for any personal, non-commercial use: viewing, storing, printing, sharing within the family and on personal social media pages — provided the AI label is kept (section 14).
13.3. Commercial use of the Deliverables (advertising, sale, paid public screening) requires a separate written agreement with us.
13.4. The Studio keeps all rights in its prompts, templates, the era-and-region Context Library, software, style and methods. You acquire no rights in them.
13.5. We do not use the Deliverables or Source Materials publicly (portfolio, social media, advertising) without your separate Marketing Release. The Release can be revoked for the future.
14. Artificial intelligence: disclosure and limits
14.1. The Deliverables are an artistic reconstruction, not a documentary record. Faces are restored from your originals. Clothing, interiors, streets, objects, colours and movement are imagined and generated by AI from your Description and our era-and-region library. Historical inaccuracies are possible. We bring memories to life — not people.
14.2. We never synthesise a voice or create speech. "Bringing to life" on the Site means bringing a memory to life — colour, depth, camera movement; we do not claim to bring a person back.
14.3. Labelling: a title card at the start (2–3 s) and end of the Film or Reel; a label on the Delivery Page; a caption on the last page of the Album and the back of the Canvas Portrait; C2PA/IPTC metadata in the files.
14.4. When sharing the Deliverables you: do not remove title cards, labels or metadata; enable the "made with AI" label on public platforms; do not present the Deliverables as an authentic photo or video.
14.5. We use third-party AI models (providers are listed in the Privacy Policy). Generation involves randomness: two runs produce different scenes. That is not a defect.
15. Personal data
15.1. How we process personal data — yours, living relatives', children's and deceased persons' — is described in the Privacy Policy. It forms part of the contract.
15.2. The Similarity Check is a temporary automated check that the face in the restoration matches the original. Its data is not retained, not used to identify or authenticate anyone, not matched against any database and never sold. You consent for yourself in the photo-warranties checkbox at checkout; for other living Depicted Persons your warranty in clause 5.1(b) applies. For some Orders or countries we may not run the automated check — a person then reviews the likeness instead. Details and country-specific limits are in the Privacy Policy.
15.3. Informing living Depicted Persons about the processing of their photos and Descriptions, and obtaining their consent, is your responsibility (clauses 5.1, 5.3).
15.4. Data questions: hello@vidlunnya.com. Our EU and UK representatives are listed in section 20.
16. Liability
16.1. Each party is liable for non-performance or improper performance under the law and these Terms.
16.2. The Studio's total liability for one Order is limited to the price of that Order.
16.3. The cap in clause 16.2 and the exclusions in clause 16.4 do not apply to wilful breach, gross negligence, death or personal injury, breach of statutory conformity guarantees, or any liability that cannot be limited under the mandatory law of the country where you live.
16.4. We are not liable for: artistic variations within your Description; loss of access to the Delivery Page because you passed the link to third parties; carrier delays (though we help with the claim); duties and taxes in the recipient's country; inaccuracies in your Descriptions and flags; consequences of a breach of your warranties (section 5).
16.5. You are responsible for the truthfulness of the Descriptions, your warranties (section 5) and the use of the Deliverables after delivery.
16.6. Nothing in these Terms limits the rights you have as a consumer under law that cannot be altered by contract.
17. Force majeure
17.1. A party is not liable for non-performance caused by circumstances beyond its control that it could not foresee or prevent: war and hostilities, shelling, air-raid alerts, power and communication outages, mobilisation, natural disasters, government decisions, provider infrastructure failures.
17.2. The Studio works from Ukraine, so war-related risks — shelling, blackouts, mobilisation — are real. We notify you of such circumstances by e-mail or on the Site as soon as we are able.
17.3. Deadlines are extended for the duration of the circumstances. If they last more than 30 days, either party may withdraw from the contract, and we refund the unperformed part within 14 days.
18. Complaints, disputes, governing law
18.1. Send complaints to hello@vidlunnya.com with the Order number. We acknowledge receipt within 2 business days and reply on the merits within 5 business days. If we need more time, we tell you why and when.
18.2. The contract is governed by the law of Ukraine. If you are a consumer living in another country, this does not deprive you of the protection of the mandatory rules of the law of the country where you live, including the EU/EEA, the United Kingdom, Canada, Australia and the USA (Article 45 of the Law of Ukraine "On Private International Law"; Article 6(2) of the Rome I Regulation).
18.3. We resolve disputes by negotiation and, failing that, in court. As a consumer you may sue in the courts of the place where you live. A claim by the Studio against a consumer may be brought only in the courts of the consumer's country of residence.
18.4. The Studio does not take part in alternative dispute resolution (ADR) procedures and is not obliged to.
18.5. Complaints to a regulator. You may contact: in Ukraine — the State Service for Food Safety and Consumer Protection (Derzhprodspozhyvsluzhba) for consumer rights and the Ukrainian Parliament Commissioner for Human Rights (ombudsman.gov.ua) for personal data; in the EU — the data protection supervisory authority of your country (list at edpb.europa.eu); in the UK — the ICO; in Canada — the OPC or the CAI (Quebec); in Australia — the OAIC.
19. Changes to the Terms
19.1. We may change these Terms. We announce changes on the Site and by e-mail 14 days before the new version takes effect.
19.2. Orders already paid remain governed by the version in force at the time of payment. You received its text in the confirmation e-mail; we send earlier versions on request to hello@vidlunnya.com.

Annex A — Consumer rights by country
This Annex supplements the Terms for consumers living outside Ukraine. Where it conflicts with the main text, whatever is more favourable to you under the mandatory law of your country applies.
A.1 European Union and EEA
A.1.1. The information required by Article 6 of Directive 2011/83/EU is given in these Terms (sections 3, 7, 8, 10–12, 20), on the Package pages and at checkout. You receive confirmation on a durable medium (Article 8(7)).
A.1.2. The Film and Reel are a service. You have 14 days to withdraw. Because you separately request immediate performance and acknowledge losing the right once the service is fully performed (Article 16(a)), the right is exhausted on delivery; before delivery we refund 100% — more favourable to you than the proportionate payment Article 14(3) would allow. Printed Items are made to your specification — no right of withdrawal (Article 16(c)); until they go to print we nevertheless refund their price.
A.1.3. Prices on the English version of the Site include your country's VAT.
A.1.4. Conformity guarantee: for the Film and images — Directive (EU) 2019/770 as transposed in your country; for Printed Items — Directive (EU) 2019/771 (legal guarantee of at least 2 years). The periods in clauses 10.2 and 12.3 concern the free revision round and our claim against the printer; they do not shorten the legal guarantee.
A.1.5. Law and courts: the choice of Ukrainian law does not deprive you of the mandatory rules of your country of residence (Article 6(2) Rome I). You may sue in the courts of your country; you may be sued only there (Articles 17–18 Brussels Ia).
A.1.6. We do not take part in alternative dispute resolution for consumer disputes and are not obliged to.
A.1.7. We do not block, redirect or vary conditions based on your nationality, place of residence or the country of your payment card (Regulation (EU) 2018/302). The countries to which we ship Printed Items are listed on the Site; we need not ship everywhere.
A.2 United Kingdom
A.2.1. The information required by Schedule 2 to the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (CCR) is given in these Terms and at checkout.
A.2.2. Cancellation: 14 days. The Film and Reel are a service begun at your express request (reg. 36 CCR): cancelling before delivery means a 100% refund; after full performance the right to cancel is lost. To the extent any part of the Deliverables is treated as digital content, your express consent to supply within the cancellation period and your acknowledgement that the right to cancel is lost (reg. 37 CCR) are given by the same checkbox. Printed Items are goods made to your specification with no right to cancel (reg. 28(1)(b) CCR). The cancellation form is in Annex B.
A.2.3. Consumer Rights Act 2015: digital content must be of satisfactory quality, fit for purpose and as described — remedies are repair or replacement, then price reduction. Services must be performed with reasonable care and skill — remedies are repeat performance or price reduction. Goods must be of satisfactory quality; you have a short-term right to reject faulty goods within 30 days, then repair, replacement or refund. Nothing in these Terms limits this.

A.3 United States
A.3.1. Nothing in these Terms limits the rights you have under the law of your state.
A.3.2. Refund policy (displayed on the order form, including for California under Cal. Civ. Code § 1723): the Film and Reel — 100% refund before delivery (section 11), revisions, guarantees and the 100% money-back guarantee in clause 10.2.1 after delivery (section 10); Printed Items — made to order, fully refundable until sent to print, afterwards only for defects (section 12).
A.3.3. Shipping of Printed Items: we ship within the time in clause 8.2. If we cannot, we notify you, give a new date and offer to cancel the undelivered item for a full refund of its price (FTC Mail, Internet, or Telephone Order Merchandise Rule, 16 CFR Part 435).
A.3.4. These Terms contain no arbitration clause and no class-action waiver. You may sue in the courts of your state.
A.3.5. Marketing e-mails are sent only with your consent. Every e-mail contains our postal address (12 Poshtova St., apt. 8, Berezan, Brovary district, Kyiv region, 07540, Ukraine) and an unsubscribe link; we process opt-outs within 5 business days (the CAN-SPAM Act allows up to 10).
A.3.6. Residents of Illinois, Texas, Washington and Colorado: the biometric notice is in the Privacy Policy.
A.4 Canada
A.4.1. The consumer protection law of your province or territory applies. Pre-contract disclosure is given in these Terms and at checkout; you had an express opportunity to accept or decline the agreement and to correct errors before paying.
A.4.2. We e-mail you a copy of the agreement (the confirmation e-mail with the full text) immediately after payment — and in any event within 15 days (Consumer Protection Act, 2002, Ontario).
A.4.3. If we fail to give the required disclosure or a copy of the agreement, you may cancel within the periods set by your province (for example, in Ontario — within 7 days after receiving the copy, or within 30 days after entering the agreement if no copy is delivered).
A.4.4. Quebec: a French version of these Terms is in preparation — version française à venir. This does not limit your rights under the Consumer Protection Act (Quebec).

A.5 Australia
A.5.1. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.
A.5.2. Change of mind: we do not refund made-to-order Printed Items or a delivered Film simply because you changed your mind. This does not apply to a major failure or any other failure to meet a consumer guarantee — then A.5.1 applies.
